Limited Use License This Limited Use License (License) is the legal agreement between you and Castle Resorts & Hotels (“Castle Resorts”), covering the digital images you have downloaded from our web site, www.CastleResorts.com, received via e-mail, FTP, disk, or acquired through third party. Your use of the digital images constitutes your acceptance of this License. As used herein, the phrases “Castle Property” and “Castle Properties” means hotels or resort condominium units managed or marketed by Castle Resorts. GRANT OF LIMITED LICENSE All the digital images and photographic prints are "rights protected" images, and are copyrighted by and all rights are owned by Castle Resorts. None of the images on our web site are in the public domain. All rights not specifically granted in this License are retained by Castle Resorts. This License grants to you a revocable, non-transferable, non-exclusive rights to use, modify, edit, incorporate into other materials, and publish the digital images for following limited purposes: 1. To display the image in that part of advertisement or website created and used for the purpose of promoting the sale of rooms for only Castle hotel properties and Castle condominium rental programs; 2. To display the image in connection with a meeting or event held or to be held at a Castle Property; 3. To display the image in connection with a group staying or reserving rooms at a Castle Property; 4. To display the image in connection with a news story or editorial; The License shall be effective immediately. If you wish to use the images for any other purpose, you must contact Castle Resorts and obtain its express written permission to use the images for that purpose. Castle Resorts presently intends to freely permit the use of the images in connection with legitimate marketing programs which involve Castle Properties. This Limited License constitutes the entire agreement between you and Castle Resorts and may be revoked or modified at any time by Castle Resorts. PROHIBITED USE Notwithstanding anything else herein to the contrary, you may not offer our digital images for sale or distribution and you may not use them in connection with anything which could reasonably be considered obscene, pornographic or sexually explicit, or in a way or context which might reasonably be considered disparaging, defamatory, or libelous to Castle, any Castle Property or any other person or entity. All use of the digital images and photographic prints must conform to all national and local applicable laws and regulations, including U.S. and international copyright laws. WARRANTIES Castle Resorts makes no warranties, either express or implied, including without limitation, any implied warranties of merchantability or fitness for a particular purpose. Castle Resort shall not be liable for any damages, whether direct, indirect, consequential or incidental, arising out of the use or the inability to use the digital images. Your violation of any of the terms of this License shall result in the immediate termination of this License without notice to you. Upon such termination (or upon termination of this revocable License by Castle Resorts in its sole discretion), all use of the digital images by you must immediately cease. Any dispute regarding this License or use of the digital images or photographic prints shall be resolved using binding arbitration in Honolulu, Hawaii, pursuant to the rules of Dispute Prevention and Resolution, Inc. The laws of the State of Hawaii shall be applicable with respect to any such disputes or arbitration.
